Part I. Commercial Terms
第一部分 專用條款
Contractor provided a quotation covering complete supply of all materials, tools, equipments, labor for design, land testing and construction and necessary coordination services for the complete General Works. Both parties agrees on the final contract price on the basis of quotation from Contractor.
承包人提供的報(bào)價(jià)書(shū)包括了設(shè)計(jì)、地質(zhì)勘察和工程建設(shè)所需要的材料、工具、設(shè)備、人力以及對(duì)總包工程必要的協(xié)調(diào)服務(wù)工作等內(nèi)容?;诔邪降膱?bào)價(jià),雙方商定了*終合同總價(jià)。
1、The Lump-sum Contract Price
合同總價(jià)

The Lump Sum Prices shall be the Contract Price and shall be fixed, and not subject to rise and fall in the duration of this Contract (except the material rise exceeds 20%), and shall be deemed to be full inclusive prices for the finished Works as described below and unless specifically stated, otherwise shall include without limitation.
此合同總價(jià)應(yīng)是合同價(jià)格,此價(jià)格是固定的,并在整個(gè)合同期間不再上下浮動(dòng)(除材料的價(jià)格漲幅超過(guò)20%的情況)。此價(jià)格將囊括以下描述的工作費(fèi)用(除特別說(shuō)明外,否則將全部包括)。
1.All labor, supervision and administration costs, including wages, allowances, holidays, insurances, welfare and other payments, taxes and expenses payable in respect of labour in accordance with statutory requirements.
所有的人工、監(jiān)督管理、行政費(fèi)用,包括工資、津貼、假日、保險(xiǎn)、福利和其他費(fèi)用、稅金及根據(jù)法令要求支付的勞動(dòng)力費(fèi)用。
2.Material costs

3.Providing and testing the samples of material and equipments (except where particular items are specifically stated to be the responsibility of the Owner).

4.Watching, lighting, security, safety measures.

7.All relevant taxes as described below

8.The Lump Sum Prices cover major design and construction activities, including all minor associated Works described or inferred from the Specifications, Drawings or other Contract Documents. Lump Sum costs have been agreed to apply without variation for those Works described unless amendment to design departs significantly from the intent.

2、The Prices for Variation Works

In case of different Unit Rates in the documents for identical or similar type of Work, the lowest rate shall apply. Items of Works undertaken as Lump Sums or later ordered or agreed as Lump Sum Works, shall not be re-measured.
在文件中若相似的工作有不同的單價(jià),將按照*低的價(jià)格執(zhí)行。包括合同總價(jià)中固定執(zhí)行的工作項(xiàng)目,或者以后所要求作為合同總價(jià)下的固定工作的項(xiàng)目將不再重新算量。
The contractor shall execute the variation works caused by the special requirements in contract scope, and carry out the corresponding contract obligation, even the price condition is not defined yet.
承包人應(yīng)執(zhí)行工作范圍中特殊要求的工作變更并相應(yīng)履行此變更工作的合同義務(wù),即使在價(jià)格條款沒(méi)有達(dá)成協(xié)議之前。
3、Taxes
稅款
Contract Price is inclusive of all taxes and charges associated with Contractor’s Works.
合同價(jià)包括了所有與承包人工程有關(guān)的稅費(fèi)。
4、Terms of Payment
付款條款
All payment will be released within 15 working days upon the approval of the milestone and the receiving of the invoice.
所有付款在節(jié)點(diǎn)確認(rèn)并收到發(fā)票后15個(gè)工作日內(nèi)支付。
5、Payment Schedule
工程款支付
The Payment schedule is as below(Base value is the contract price):

The Owner shall pay 10% of Lump-sum Contract price as the down payment within 15days after signing the contract.

Design completion, audited, planning and construction certificate obtained: 10%
設(shè)計(jì)完成,
電力設(shè)備進(jìn)場(chǎng)開(kāi)始安裝: 5%
Auxiliary project, such as electricity, streetlight, fire-fighting, road, landscape, sewage, etc. completion, office decoration finished 5%

Final acceptance by The Owner and authorities 5%

6、Retention payment
尾款(保修金)
5% of the payment, as the project warranty money, will be paid off within 7 days upon the completion of one year warrantee period, starting from the official acceptance.
5%的工程尾款作為工程保修金,在項(xiàng)目竣工驗(yàn)收滿一年后7天內(nèi)付清。
7、Payment for Variation Works
增項(xiàng)工程付款
Agreed payment of Variations Works will be paid in ninety-seven per cent (95%) of its respective value of such completed Works, and the rest amount - being three per cent (5%) - will be paid within 7 days upon the completion of one year warrantee period.
經(jīng)確認(rèn)變更費(fèi)用或增項(xiàng)工程費(fèi)用等其工作完成后支付95%,余下的5%在項(xiàng)目竣工驗(yàn)收滿一年后7天內(nèi)支付。
8、Completion of Works
工作完成
1. When the Works are substantially completed, Owner shall issue a Certificate of Inspection and Acceptance. The issuance of this Certificate shall not relieve Contractor from his obligation hereunder to complete the Works.
當(dāng)工作實(shí)質(zhì)上完成后,發(fā)包人提供驗(yàn)收證明。此驗(yàn)收證明并不代表承包人可以不用承擔(dān)工作完成后應(yīng)該承擔(dān)的義務(wù)。
2.When Contractor is of the opinion that the Works are Substantially Complete, Contractor shall submit to Owner a written request of inspecting the Works so as to determine whether Substantial Completion has been achieved. Upon such request, Owner must respond within twenty five (25) days of its receipt with either (i) a Certificate of Substantial Completion or (ii) an explanation of the reasons why the Works are not Substantially Complete, including a list of open items necessary to achieve Substantial Completion (Outstanding Works). Owner shall advise Contractor of the time reasonably required to complete Outstanding Works., which shall be no more than two (2) months.
當(dāng)承包人認(rèn)為工作確實(shí)已經(jīng)完成,應(yīng)提供書(shū)面的要求遞交發(fā)包人,要求進(jìn)行工作驗(yàn)收。根據(jù)其要求,發(fā)包人必須在25天內(nèi)做出答復(fù)①、實(shí)際工作完成確認(rèn);②、實(shí)際工作未完成,并同時(shí)呈交未完成的理由和原因,包括必須完成工作的條款清單(未完成的工作),發(fā)包人通知承包人在合理的時(shí)間內(nèi)完成未完成的工作,但是一般不超過(guò)2個(gè)月。
3. When, in the opinion of Owner, the Works are properly completed in all respects including any Outstanding Works, Owner shall issue a Final Completion Certificate.
當(dāng)發(fā)包人認(rèn)為在各方面工作已被完全完成,發(fā)包人應(yīng)頒發(fā)*終完工證明。
4. In the event of an emergency or if the Contractor fails to diligently perform the Outstanding Works, Owner may complete such Works, either by its own forces or by other contractors. Owner may deduct such costs from any payments due and owing to the Contractor. If such costs exceed the amount due to the Contractor, the Contractor shall immediately pay such excess to Owner.
如果因突發(fā)事件或承包人不能履行其未完成工作時(shí),發(fā)包人可以自己或雇傭其他承包人來(lái)完成此項(xiàng)工作,發(fā)包人將從承包人的未付款項(xiàng)中扣除此筆費(fèi)用。如果此費(fèi)用超出了未付款的總額時(shí),承包人應(yīng)立即支付超出部分的費(fèi)用至發(fā)包人。
